Initial Discovery Meeting
We schedule a brief call to have a high level discussion about your business and your goals. In this call, we gauge our respective interests in pursuing an acquisition now or in the future.
Non-Disclosure Agreement Signed
After the intro call and before we ask you to share any more information about your business, we sign a mutual NDA.
Preliminary Information Request Sent
We ask you to provide some financial information. We aim to minimize your time spent hunting for information before we make an offer.
Product Demonstration
We can learn a lot about your business and your software from a short product demonstration.
Letter of Intent (LOI) Issued (2-3 weeks)
We can often issue an LOI within a week or two of our first meeting once we digest the information received.
Due Diligence Requests and Meetings
We are on our way to closing! Once we sign an LOI, we share a more comprehensive diligence list. We focus our diligence on the most important items so we can learn as much as we can about the business and avoid unnecessary detail.
Draft of Purchase Agreement and Legal Docs
Within a few weeks of the beginning of due diligence you will receive a first draft of the purchase agreement, which outlines the transaction in detail. Ours are pretty simple.
Closing (1-3 months after LOI signed)
We sign all the legal agreements, send the wires and we get ready to work with your team. After a celebration, the fun part begins!
